1. Introduction

Welcome to PoolTrex Systems Limited (“PoolTrex”, “we”, “our”, or “us”).

These Terms and Conditions govern the use of PoolTrex services, including IoT-enabled pool table automation systems, M-PESA payment integration services, telemetry systems, mobile/web applications, cloud dashboards, and related hardware and software solutions.

By registering, accessing, installing, or using PoolTrex services, the customer agrees to comply with and be bound by these Terms and Conditions.


2. Definitions

  • “PoolTrex Systems Limited” refers to the company providing PoolTrex products and services, including its employees, agents, affiliates, platforms, hardware, firmware, and software systems.

  • “PoolTrex” refers to the technology platform and services operated by PoolTrex Systems Limited.

  • “Customer” refers to any individual, business, or entity using PoolTrex services.

  • “Device” refers to any PoolTrex-installed hardware, controller, automation unit, telemetry device, or related equipment.

  • “Service” refers to all PoolTrex systems, software, applications, payment integrations, dashboards, analytics tools, and support services.

  • “M-PESA” refers to the mobile money payment platform operated by Safaricom.


3. Eligibility

To use PoolTrex services, customers must:

  • Be at least 18 years old.

  • Provide accurate and complete registration information.

  • Have the legal authority to operate the business or premises where PoolTrex systems are installed.

  • Comply with all applicable laws and regulations.


4. Account Registration

  • Customers are responsible for maintaining the confidentiality of their account credentials.

  • Customers shall ensure all registration and payment information provided is accurate and up to date.

  • PoolTrex reserves the right to suspend or terminate accounts containing false, misleading, or fraudulent information.

  • Customers are responsible for all activity occurring under their accounts.


5. Services Provided

PoolTrex Systems Limited provides an IoT-enabled payment collection and automation platform for pool table owners and operators. Services may include:

  • Automated pool table activation systems.

  • Integration with M-PESA payment systems.

  • Real-time payment verification and access control.

  • Pool table usage monitoring and telemetry.

  • Remote device management.

  • Revenue tracking and analytics dashboards.

  • Cloud-based monitoring and reporting.

  • Technical support and maintenance services where applicable.

PoolTrex acts solely as a technology service provider facilitating automated payment collection and pool table management.

PoolTrex is not a bank, financial institution, or mobile money operator. All financial transactions are processed through authorized third-party payment service providers.

PoolTrex reserves the right to modify, suspend, improve, or discontinue parts of the service where necessary for maintenance, upgrades, fraud prevention, compliance, or operational reasons.


6. Installation and Equipment

  • PoolTrex devices may remain the property of PoolTrex Systems Limited unless otherwise agreed in writing.

  • Customers shall not tamper with, relocate, dismantle, modify, reverse engineer, or interfere with PoolTrex equipment without written authorization.

  • Customers are responsible for providing a safe operating environment, including stable electrical power and protection from water, theft, vandalism, and misuse.

  • Any intentional damage or unauthorized modification may result in repair, replacement, or service charges.


7. Payments and Billing

  • Customers agree to pay all applicable installation fees, subscriptions, transaction charges, maintenance fees, or other service charges.

  • PoolTrex may deduct agreed service fees or commissions before remitting customer earnings where applicable.

  • Failure to make payments on time may result in suspension or termination of services.

  • PoolTrex reserves the right to revise pricing with reasonable notice.


8. Payment Processing

  • Customers authorize PoolTrex to facilitate payment collection through integrated payment systems including M-PESA.

  • PoolTrex may process transaction notifications, confirmations, reconciliations, and operational payment data for service delivery purposes.

  • Customers acknowledge that mobile money services are provided by third-party providers and are subject to their own availability and terms.

  • PoolTrex shall not be responsible for delayed, failed, reversed, duplicated, or interrupted transactions caused by mobile network operators, banks, payment gateways, or third-party providers.

  • Customers are responsible for ensuring that payment account details submitted to PoolTrex are accurate and authorized for use.


9. Customer Responsibilities

Customers agree to:

  • Use PoolTrex systems lawfully and responsibly.

  • Prevent unauthorized access to their devices and accounts.

  • Immediately report faults, suspicious activities, or service interruptions.

  • Comply with all applicable business, tax, and regulatory obligations.

Customers shall not:

  • Attempt to bypass payment systems or revenue tracking mechanisms.

  • Use PoolTrex services for fraudulent or illegal activities.

  • Copy, duplicate, resell, or commercially exploit PoolTrex technology without authorization.

  • Interfere with device firmware, telemetry systems, or payment workflows.


10. Service Availability

  • PoolTrex services depend on internet connectivity, telecommunications networks, cloud services, electrical power, and third-party payment systems.

  • PoolTrex does not guarantee uninterrupted or error-free operation at all times.

  • Temporary downtime may occur due to maintenance, software updates, telecommunications issues, payment provider outages, or technical faults.


11. Force Majeure

PoolTrex Systems Limited shall not be held liable for any delay, interruption, failure, or inability to provide services resulting from events beyond its reasonable control, including but not limited to:

  • M-PESA or mobile money service downtime.

  • Failures or outages affecting Safaricom or other telecommunications providers.

  • Internet service interruptions.

  • Power outages or electrical faults.

  • Cloud server outages or hosting provider failures.

  • Government actions, restrictions, or regulatory directives.

  • Cyberattacks, hacking incidents, malware, or denial-of-service attacks.

  • Natural disasters including floods, earthquakes, fires, or storms.

  • Civil unrest, riots, strikes, terrorism, or war.

  • Hardware shortages or supply chain disruptions.

  • Failures affecting third-party systems, APIs, payment gateways, or banking infrastructure.

During such events, PoolTrex shall make reasonable efforts to restore services as soon as practically possible but shall not be responsible for any business interruption, delayed payments, loss of revenue, or operational losses incurred by customers.


12. Data Collection and Privacy

  • PoolTrex may collect telemetry, payment, operational, and usage data necessary for service delivery, analytics, fraud prevention, and system improvement.

  • Customer data shall be handled in accordance with applicable data protection laws.

  • PoolTrex shall not sell confidential customer information to third parties without consent unless required by law or regulatory authorities.


13. Limitation of Liability

To the maximum extent permitted by law:

  • PoolTrex shall not be liable for indirect, incidental, special, or consequential damages.

  • PoolTrex shall not be responsible for losses caused by network failures, power outages, M-PESA downtime, vandalism, unauthorized interference, or customer misuse.

  • Total liability arising from any claim shall not exceed the total service fees paid by the customer during the preceding three months.


14. Warranty and Technical Support

  • PoolTrex may provide technical support and maintenance services based on the customer’s subscription or agreement.

  • Warranty does not cover damage resulting from misuse, theft, vandalism, improper installation, unauthorized modification, water damage, pests, electrical faults, or power surges.

  • PoolTrex reserves the right to charge for repairs or replacements outside warranty coverage.


15. Suspension and Termination

PoolTrex reserves the right to suspend or terminate services where:

  • Customers breach these Terms and Conditions.

  • Fraudulent or illegal activity is suspected.

  • Payments remain overdue.

  • Devices are tampered with or intentionally damaged.

  • Customers interfere with telemetry, payment systems, or platform integrity.

Customers may terminate services by providing written notice subject to any active contractual obligations.


16. Intellectual Property

All PoolTrex software, branding, systems, firmware, device designs, dashboards, trademarks, source code, and related intellectual property remain the exclusive property of PoolTrex Systems Limited.

Customers may not reproduce, distribute, reverse engineer, modify, or commercially exploit PoolTrex technology without prior written consent.


17. Amendments

PoolTrex reserves the right to update or modify these Terms and Conditions at any time.

Continued use of PoolTrex services after updates constitutes acceptance of the revised Terms and Conditions.


18. Governing Law

These Terms and Conditions shall be governed and interpreted in accordance with the laws of Kenya.
